University of Louisville Physicians (ULP) is made up of more than 600 highly trained and dedicated doctors who work together to care for patients from prenatal days to the senior years. We are a team whose leading-edge knowledge helps patients throughout Kentucky and southern Indiana and in hospitals all across the region.  As our organization continues to grow, we are adding Vice President / General Counsel to our executive team.

 

Position Title: Vice President / General Counsel

Department: Administration

Report to: Chief Executive Officer

Supervises: 1

 

JOB SUMMARY: 

Reporting to the CEO of ULP, serve as full-time, in-house General Counsel.  Provide services to ULP organizations and staff in a diverse range of situations – contracts, patient care, regulatory, litigation – anything affecting ULP’s legal interests.  Give legal advice, retain and manage outside counsel, participate in education and research as appropriate, and serve on committees and task forces as needed.

 

JOB RESPONSIBILITIES

·       Design, develop and implement a new legal services function for ULP

·       Work with and advise the ULP Board and Task Force on integration requirements, the ULP corporate structure, economic structure and all associated legal items  

·       Advise and inform the CEO on all matters, which pose risk from a legal perspective

·       Provide legal representation, advice, and opinions in all substantive areas of law affecting the organization.

·       Develop and manage the overall legal budget

·       Utilize outside legal counsel, develop a legal management plan, yet look for opportunities to consolidate where appropriate and proactively maximize the value of outside legal services

·       Drive compliance and risk management through the design and development of programs designed to mitigate litigation risks associated with compliance infractions

·       Review and advise on matters related to Benefit plans, design and executive rewards

·       Proactively update executive staff and board routinely on any relevant legislative updates, and/or changes to current legislation

·       Other areas of responsibility include contracting, purchasing, real estate, tax and employment law

 

MINIMUM EDUCATION & EXPERIENCE

Completion of law school and a license to practice law in the state of Kentucky.  Strong experience in corporate law of both for-profit and not-for-profit, as well as complex healthcare issues including merger integrations, certificate of need matters, government agency relationships (federal and commonwealth), and clinical care compliance concerns.  Excellent oral and written communication skills, as well as excellent interpersonal skills desired. Must be willing to work as a team and be flexible.  The ability to manage a variety of tasks simultaneously with efficiency is required.  The ability to handle difficult and challenging interpersonal situations required.  Strong decision-making capabilities and independent judgment including the management of confidential information and sensitive situations required.

·       Strong knowledge of healthcare delivery systems, and the new healthcare environment relative to political, economic, social and technological forces

·       Professionally mature: calm, contemplative yet decisive, thoughtful and articulate, able to manage up and down, with grace, tact, diplomacy and authority 

·       Judgment, quality, and awareness – makes rational decisions, involves appropriate stakeholders, incorporates relevant factors into opinions and advice

·       Customer Service – understands that service is a priority for the organization and is committed to a legal service delivery model that produces responsiveness, dependability, accuracy and reliability to constituents
